BY CLAIMING TOKENS, INCLUDING BUT NOT LIMITED TO BY ENTERING A WALLET ADDRESS PURSUANT TO THE TERMS, CONDITIONS, AND PROCESSES DESCRIBED HEREIN, PARTICIPANT ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO THESE CLAIM TERMS & CONDITIONS IN THEIR ENTIRETY. THE PARTICIPANT IS RESPONSIBLE FOR MAKING ITS OWN DECISION IN RESPECT OF ITS PARTICIPATION IN THE CLAIM PROCESS (“CLAIM PROCESS” AND EACH CLAIM, A “CLAIM”) AND ANY RECEIPT OF TOKENS. ANY PARTICIPATION IN THE CLAIM PROCESS IS SOLELY AT THE PARTICIPANT'S OWN RISK AND IT IS THE PARTICIPANT'S SOLE RESPONSIBILITY TO SEEK APPROPRIATE PROFESSIONAL, LEGAL, TAX, AND OTHER ADVICE IN RESPECT OF THE CLAIM PROCESS AND ANY RECEIPT OF THE TOKENS PRIOR TO PARTICIPATING IN THE CLAIM PROCESS AND PRIOR TO RECEIVING ANY TOKENS.
BY PARTICIPATING IN THE CLAIM PROCESS, THE PARTICIPANT EXPRESSLY ACKNOWLEDGES AND ASSUMES ALL RISKS RELATED THERETO, INCLUDING (WITHOUT LIMITATION) THE RISKS SET OUT BELOW. IN NO EVENT SHALL SUPERNORMAL OR ANY SUPERNORMAL PERSON BE HELD LIABLE IN CONNECTION WITH OR FOR ANY LOSSES, DAMAGES, OR OTHER LIABILITIES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR IN CONNECTION WITH ANY PROGRAM, THE CLAIM PROCESS, OR THE RECEIPT OF ANY TOKENS.
SUPERNORMAL DOES NOT TAKE ANY RESPONSIBILITY FOR THE PARTICIPATION BY ANY PARTICIPANT IN THE CLAIM PROCESS. SUPERNORMAL DOES NOT PROVIDE ANY RECOMMENDATION OR ADVICE IN RESPECT OF THE CLAIMS OR THE TOKENS. EACH PARTICIPANT PARTICIPATES IN THE CLAIM PROCESS AT ITS OWN RISK AND RECEIVES TOKENS AT ITS OWN RISK.
These Claim Process Terms & Conditions ("Claim Terms") govern the participation in and receipt of MEZO or veMEZO tokens ("MEZO", “veMEZO”, and together, "Tokens") through the airdrop program and any associated phases (collectively, "Airdrop"), or any other program or campaign (together with the Airdrop and any related claim process, “Program(s)”) organized by Supernormal OpCo (BVI) Ltd., a British Virgin Island company and subsidiary of Supernormal Foundation, a Cayman Island foundation company that contributes to the content, functionality, smart contracts, distributed applications and services offered in connection with the Mezo network located at Mezo.org (collectively, "Supernormal", "we" or "us").
“Supernormal Person” means any past, present, or future employee, officer, director, contractor, consultant, advisor, agent, representative, affiliate, subsidiary or other person acting on behalf of or associated with Supernormal. By participating in the Programs, you ("Participant" or “you”) agree to be bound by these Claim Terms.
These Claim Terms are supplemental to, and incorporate by reference, our general Terms of Service available at https://mezo.org/terms ("General Terms"), as may be updated from time to time. Defined terms used but not defined herein have the meaning set forth in the General Terms. The Programs, and your participation therein, is a Service as defined under the General Terms.
These Claim Terms govern your ability to use our Services in order to participate in the Programs. Please read these Claim Terms carefully, as they include important information about your legal rights. Please also read the General Terms carefully. By participating in a Program, you are agreeing to these Claim Terms and the General Terms. If you do not understand or agree to these Claim Terms and the General Terms, you may not participate in the Programs.
SECTION 8 OF THE CLAIM TERMS CONTAINS AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER. PLEASE REVIEW SUCH CLAUSES CAREFULLY BECAUSE THEY AFFECT YOUR RIGHTS. BY AGREEING TO THESE CLAIM TERMS, YOU AGREE TO RESOLVE ALL DISPUTES RELATED TO THE PROGRAMS THROUGH BINDING INDIVIDUAL ARBITRATION AND TO WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS, AS SET FORTH IN THE CLAIM TERMS.
The registration period for any Program shall commence and close on the dates publicly communicated by Supernormal (the closing date the "Registration Deadline"), unless otherwise extended or shortened by Supernormal in its sole discretion through its official communication channels.
Following the Registration Deadline, eligible Participants who have successfully registered shall have until the date publicly communicated by Supernormal (the "Claim Deadline") to claim their allocated Tokens, unless otherwise extended or shortened by Supernormal in its sole discretion through its official communication channels. The period between the opening of claims and the Claim Deadline shall be referred to as the "Claim Period."
YOU ACKNOWLEDGE AND AGREE THAT:
(a) FAILURE TO REGISTER FOR A PROGRAM BY THE APPLICABLE REGISTRATION DEADLINE WILL RESULT IN PERMANENT FORFEITURE OF ANY RIGHT OR ELIGIBILITY TO RECEIVE TOKENS IN A PROGRAM.
(b) FAILURE TO CLAIM TOKENS BY THE CLAIM DEADLINE WILL RESULT IN PERMANENT FORFEITURE OF ANY ALLOCATED TOKENS.
(c) ANY TOKENS NOT CLAIMED BY THE CLAIM DEADLINE SHALL AUTOMATICALLY AND IRREVOCABLY REVERT TO THE SUPERNORMAL TREASURY OR SUCH OTHER ALLOCATION AS DETERMINED BY SUPERNORMAL IN ITS SOLE DISCRETION.
(d) SUPERNORMAL SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY TOKENS FORFEITED DUE TO FAILURE TO REGISTER FOR A PROGRAM BY THE REGISTRATION DEADLINE OR FAILURE TO CLAIM BY THE CLAIM DEADLINE, REGARDLESS OF THE REASON FOR SUCH FAILURE.
(e) YOU WAIVE ANY AND ALL CLAIMS AGAINST SUPERNORMAL AND ANY SUPERNORMAL PERSON ARISING FROM OR RELATED TO YOUR FAILURE TO REGISTER OR CLAIM TOKENS WITHIN THE APPLICABLE DEADLINES.
Supernormal may, in its sole discretion, provide reminders or notifications regarding upcoming deadlines, but shall have no obligation to do so. The failure of Supernormal to provide any such reminder or notification shall not extend any deadline or create any liability on the part of Supernormal.
During the registration process, eligible Airdrop Participants may elect to voluntarily lock their Tokens, as set forth during the registration process or in any applicable user interface to receive veMEZO (“Locking Program”). This election is entirely optional and at the sole discretion of each Participant, and is subject to change by Supernormal in its sole discretion.
Airdrop Participants who elect to participate in the Locking Program may receive an increased Token allocation (the "Locking Bonus"). Details about the Locking Bonus will be presented to you through any registration process, and remains subject to change at any time by Supernormal in its sole discretion.
Airdrop Participants who elect to participate in the Locking Program acknowledge and accept that:
Certain Airdrop phases or other Programs may only offer or result in eligible Participants receiving veMEZO. Participants who may receive Tokens through any Program acknowledge that the applicable portion of their Tokens may be delivered as veMEZO, subject to the terms of the Locking Contract as determined by Supernormal in its sole discretion, and that the Participant may not opt-out of receiving veMEZO. By participating in any Programs, you acknowledge and consent to receiving any applicable Tokens in locked form as veMEZO. The proportion of any Tokens delivered as locked veMEZO shall be determined by Supernormal in its sole discretion. Supernormal reserves the right to modify the proportion of any allocation subject to locking at any time prior to distribution.
Locked veMEZO received through any Program shall be subject to the same mechanics, restrictions, and risks described in Sections 3.3 and 3.4.
Tokens may be usable only within certain platforms, protocols, or ecosystems (for example, Mezo Earn) and may have no monetary or exchange value. Tokens are not intended to be, and should not be treated as, securities, investment products, or any form of regulated financial instrument. You acknowledge that Tokens may never have any real-world value, and you shall not participate with an expectation of profit.
By participating in any Program, you represent, warrant, and acknowledge that:
Supernormal, in its sole discretion, shall determine the eligibility criteria for participation in the Programs, including the amount of Tokens to be distributed to eligible Participants that satisfy certain criteria. Different eligible Participants may receive different amounts of Tokens in any particular Program, depending on the criteria set forth by Supernormal. Supernormal shall have no obligation to notify actual or potential Participants of the eligibility criteria for any Program prior to, during, or after the claims are opened for such Program.
The existence of these Claim Terms and the Programs does not guarantee that any Program will actually take place, or that any Tokens will be distributed.
Supernormal reserves the sole and absolute right to disqualify any Participant or potential Participant it deems ineligible for a Program (be it under these Claim Terms or by having determined that Participant engaged in any conduct that Supernormal considers harmful, unlawful, inappropriate, or unacceptable). Such disqualification may be appropriate if Supernormal determines, in its sole discretion, for example, that a Participant may have used multiple addresses to obscure its identity or location or to attempt to game, cheat, or hack the Programs, Tokens, or the Mezo Protocol.
Supernormal has implemented a risk-based program applicable to the Programs and any related participation or claims. This program screens claims using data and tools provided by an independent blockchain analytics provider, applying screening criteria that may extend beyond the requirements of applicable law. Claims are also subject to geo-location and proxy detection controls to prevent access by users that may be Sanctioned Persons, located in a Prohibited Jurisdiction, or otherwise prohibited from participation.
"Prohibited Jurisdiction" means (a) any jurisdiction subject to comprehensive sanctions administered or enforced by the United States (including OFAC), the United Kingdom (including OFSI), the European Union, or the United Nations Security Council, including but not limited to Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions of Ukraine, and any other jurisdiction that becomes subject to comprehensive sanctions; and (b) any other jurisdiction where the receipt, holding, or use of the Tokens is prohibited by applicable law.
"Sanctioned Person" means any person or entity that is (a) listed on, or owned or controlled by a person or entity listed on, any sanctions list maintained by the United States (including the OFAC Specially Designated Nationals and Blocked Persons List, the OFAC Consolidated Sanctions List, and the U.S. Department of State's Debarred Parties List), the United Kingdom (including the OFSI Consolidated List), the European Union, or the United Nations Security Council; (b) located, organized, or resident in a Prohibited Jurisdiction; or (c) otherwise the target of any sanctions administered or enforced by the foregoing authorities.
By using the Services and participating in any Program, you agree and acknowledge that your Wallet Address and IP Address will be screened and may be excluded from any Program, at our sole discretion, if we detect that you may be located in a Prohibited Jurisdiction, are a Sanctioned Person, or otherwise present heightened risks based on Supernormal's risk assessment framework.
There is only one website for Token registration and claims, which is: https://mezo.org/rewards. Do not trust any other website regardless of its source or origin or any link routing you to a different website.
Use of the website for Token claims and participation in the Programs is at the risk of the user. The Services are provided on an "as is" and "as available" basis. Supernormal expressly disclaims all warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Supernormal makes no warranty that the Programs or the Services will meet your requirements or be uninterrupted, timely, secure, or error-free. Supernormal makes no warranty that the results that may be obtained from access to or the use of Services will be accurate or reliable or that the quality of any products, services, applications, information, or other material obtained by you through the Services will meet your expectations.
By accessing and using the Programs or the Services, you represent and warrant that you (a) understand the risks inherently associated with using cryptographic and blockchain-based systems and (b) have a working knowledge of the usage, storage, and intricacies of digital assets. You further represent that you understand that markets for digital assets are highly volatile due to various factors, including adoption, speculation, technology, security, and regulation. You acknowledge and accept that the cost and speed of transacting with cryptographic and blockchain-based systems are variable and may increase or decrease dramatically at any time. You acknowledge and accept the risk that your digital assets may have no value or lose some or all of their value. You understand that anyone can create a token, including fake versions of existing tokens and tokens that falsely claim to represent certain projects, entities, or people, and you acknowledge and accept the risk that you or others may mistakenly seek to claim or trade those or other tokens. You acknowledge that Supernormal is not responsible for any of these variables or risks and cannot be held liable for any resulting losses that you experience.
READ THIS SECTION CAREFULLY AS IT MAY SIGNIFICANTLY IMPACT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING A LAWSUIT AGAINST US IN ANY COURT OR GOVERNING AUTHORITY. EXCEPT AS EXPRESSLY PROVIDED BELOW, THIS SECTION REQUIRES YOU TO SUBMIT ANY DISPUTE, CLAIM, OR DISAGREEMENT (EACH A “DISPUTE”) ARISING OUT OF THESE CLAIM TERMS OR THE SERVICES, INCLUDING ANY DISPUTE THAT AROSE BEFORE THE EFFECTIVE DATES OF THESE TERMS, TO BINDING INDIVIDUAL ARBITRATION. THIS SECTION EXTENDS TO DISPUTES THAT AROSE OR INVOLVE FACTS OCCURRING BEFORE THE EXISTENCE OF THIS OR ANY PRIOR VERSIONS OF THE CLAIM TERMS AS WELL AS DISPUTES THAT MAY ARISE AFTER THE TERMINATION OF THE TERMS.
You and Supernormal agree that any Dispute arising out of or relating to these Claim Terms, any Programs, or the Services is personal to you and us and will be resolved solely by binding individual arbitration rather than in court.
YOU AND SUPERNORMAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND SUPERNORMAL AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE CLAIM TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
These Claim Terms and the General Terms contain the entire agreement between you and Supernormal regarding the Programs and supersede all prior and contemporaneous understandings between the parties regarding the Programs.
We may modify these Claim Terms from time to time in which case we will update the "Last Revised" date at the top of these Claim Terms. The updated Claim Terms will be effective as of the time of posting, or such later date as may be specified in the updated Claim Terms. Your continued access or participation in the Programs after the modifications have become effective will be deemed your acceptance of the modified Claim Terms.
If any term, clause, or provision of these Claim Terms is held to be illegal, invalid, void, or unenforceable (in whole or in part), then such term, clause, or provision shall be severable from the Claim Terms without affecting the validity or enforceability of any remaining part of that term, clause, or provision, or any other term, clause, or provision in the Claim Terms, which will otherwise remain in full force and effect. Any invalid or unenforceable provisions will be interpreted to affect the intent of the original provisions. If such construction is not possible, the invalid or unenforceable provision will be severed from the Claim Terms, but the rest of the Claim Terms will remain in full force and effect.
These Claim Terms (and any Dispute arising under or in connection with these Claim Terms) shall be governed by and construed in accordance with, in all respects including as to its validity, interpretation and effect, the laws of the British Virgin Islands, without giving effect to its principles or rules of conflict of laws to the extent such principles or rules are not mandatorily applicable by statute and would permit or require the application of the laws of another jurisdiction. Subject to Section 8, you irrevocably submit to the exclusive jurisdiction of the courts of the British Virgin Islands and waive any objection to any proceedings being heard in such courts on the grounds of venue or on the grounds that such proceedings have been brought in an inconvenient forum. Notwithstanding any other provision of these Claim Terms, you agree that we have the right to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
You shall not, by operation of law or otherwise, directly or indirectly (and shall not agree to) assign the benefit of these Claim Terms (in whole or in part) without the prior written consent of Supernormal. Supernormal may assign these Claim Terms in whole, without your consent.
The failure of Supernormal to exercise or enforce any right or provision of these Claim Terms will not constitute a waiver of such right or provision.
BY PARTICIPATING IN A PROGRAM, YOU REPRESENT AND WARRANT THAT YOU UNDERSTAND THE INHERENT RISKS ASSOCIATED WITH USING CRYPTOGRAPHIC AND BLOCKCHAIN-BASED SYSTEMS, AND THAT YOU HAVE A WORKING KNOWLEDGE OF THE USAGE AND INTRICACIES OF DIGITAL ASSETS, SUCH AS BRIDGING OR TRANSFERRING ACROSS DIFFERENT BLOCKCHAIN SOLUTIONS. YOU FURTHER UNDERSTAND THAT THE MARKETS FOR THESE DIGITAL ASSETS ARE HIGHLY VOLATILE DUE TO VARIOUS FACTORS, INCLUDING ADOPTION, SPECULATION, TECHNOLOGY, SECURITY, AND REGULATION. YOU FURTHER ACKNOWLEDGE AND ACCEPT THE RISK THAT YOUR DIGITAL ASSETS RECEIVED FROM A PROGRAM HAVE NO CURRENT VALUE, AND MAY LOSE SOME OR ALL OF THEIR VALUE WHILE THEY ARE SUPPLIED TO A BLOCKCHAIN PROTOCOL. YOU FURTHER ACKNOWLEDGE THAT SUPERNORMAL IS NOT RESPONSIBLE FOR ANY OF THESE VARIABLES OR RISKS, AND CANNOT BE HELD LIABLE FOR ANY RESULTING LOSSES THAT YOU EXPERIENCE WHILE ACCESSING OR USING THE SERVICES TO CLAIM TOKENS. ACCORDINGLY, YOU UNDERSTAND AND AGREE TO ASSUME FULL RESPONSIBILITY FOR ALL OF THE RISKS OF ACCESSING AND USING THE MEZO BLOCKCHAIN PROTOCOL TO PARTICIPATE IN A PROGRAM.
